Private Club Terms

This agreement is between American Artisans, a division of Sales Team 1, LLC. (Company) at 1621 Central Ave., Cheyenne, WY 82001 and private members-only clubs focusing on various activities referring members (Private Clubs).

Service Description. Company provides a free directory website listing exclusive handmade in the USA artisanal products. Private Clubs are sent a counter display with take one cards that promote the directory to their members. Private Clubs are paid for resulting sales by their customers and get a free local directory listing.

Term. Monthly renewed until canceled.

Fees. There are no fees to participate.

Marketing Payments. 10% of the commissions paid to Company by listed Artisans will be paid to the Private Club for purchases made by referred members. This is paid to you via Venmo within 7 days of receipt of payments from Artisans. You have the option to donate the commissions equally to the listed nonprofits in your name with receipt for tax credits.

Local Directory. We list your club for free in our local directory. You gain exposure to the collective customer traffic of all participating referring businesses that cater a top tier customer base. You also benefit from traffic from our online marketing campaigns.

Acceptance. Private Clubs agree to place the provided counter display with take-one cards in a prominent location visible to members. Optional but encouraged is to actively distribute the take-one cards to promote the directory and promote it in member bulletins.

Confidentiality. All information provided to the other that is not public or commonly available will be kept confidential.

Indemnification. Private Club is indemnified and held harmless for any aspect of services provided that are beyond its control and transactions between Customers and Artisans.

Intellectual Property. Company retains all rights and sole ownership of systems provided to deliver the posted services.

Termination. Company reserves the right to terminate this agreement with or without cause upon written (emailed) notice. Vendor can cancel the listing and agreement at any time with emailed notice.

Jurisdiction and Governing Law. This agreement shall be governed by the laws of and in the Jurisdiction of the State of Wyoming.

Subject to Change. Terms may be changed but will not apply retroactively.

Disputes. Resolution will be by mediation (unless mutually waived) and then binding arbitration both using impartial services selected by Company, accepted by both parties and with the party initiating any action paying all fees and further not to post negative reviews on or offline and to abide by decisions made during dispute resolution.
