Artisan Terms

This agreement is between American Artisans, a division of Sales Team 1, LLC. (Company) at 1621 Central Ave., Cheyenne, WY 82001 and product or services providers (Artisans).

Service Description. Company provides a free directory listing on a website exclusively focused on upscale artisanal products and services made in the USA. Listed Artisans get leads from customers referred by businesses in selected desirable demographic areas. Referral businesses are supplied with counter displays and take-one cards encouraging visits to the website. This is a highly focused advertising medium with online and local offline elements explicitly designed to reach discerning individuals who are prime prospects for Artisans products. Artisans agree to pay a Marketing Fee on actual sales resulting from the directory with no up-front fees thus no risk.

Term. Monthly renewed until canceled.

Marketing Fee. A percentage of paid sales by referred customer sales. The rate will be proposed by Artisan for each listed product or service. If accepted by Company this Agreement will be in effect.

Other Fees. There are no set-up, listing, monthly, lead or other fees.

Payment Methods. Commissions payable by Venmo or direct bank deposit.

Payments Due. Within 3 days of a completed sale or an order with deposit received equal to 20% or more of sale price to a referred customer documented via a Priority Request form. For cancelled customer orders Marketing Fees paid to Company will be credited to Artisan on future orders.

Process. Referred customers submit a Priority Request form located on the listing for product information, pricing, options or delivery. This form data is forwarded to Artisan complete with customer contact information.

Verification. Customers are surveyed by email or phone to verify: 1. Artisan replied to the inquiry in a timely manner, 2. Whether a purchase was made, 3. Amount of purchase, 4. Satisfaction with the purchased products. We may refer customers to another Artisan if a purchase was declined.

Inquiries. Customers sourced by Company may bypass the provided Priority Request form and contact Artisan directly. Artisan agrees to make reasonable attempts to determine if Customers were sourced by Company and to pay the agreed upon Marketing Fee for completed sales as above.

Guarantee. Since a Marketing Fee is paid only after a completed sale no guarantees or refunds are necessary or offered.

Acceptance. Artisans offering products and services are accepted for listing at the sole discretion of Company with requested items supplied to create the listing.

Confidentiality. All information provided to the other that is not public or commonly available will be kept confidential.

Indemnification. Company is indemnified and held harmless for any aspect of services provided that are beyond its control and makes no claims as to forwarded Priority Requests for outcomes of customers regarding services provided by Artisan.

Intellectual Property. Company retains all rights and sole ownership of systems provided to deliver the posted services.

Termination. Company reserves the right to terminate this agreement with or without cause upon written (emailed) notice. Artisan can cancel the listing and agreement at any time with emailed notice.

Jurisdiction and Governing Law. This agreement shall be governed by the laws of and in the Jurisdiction of the State of Wyoming.

Subject to Change. Terms may be changed but will not apply retroactively.

Disputes. Resolution will be by mediation (unless mutually waived) and then binding arbitration both using impartial services selected by Company, accepted by both parties and with the party initiating any action paying all fees. Artisan agrees not to dispute credit card charges or other payments until and unless all mediation and arbitration processes are finalized and further not to post negative reviews on or offline and to abide by decisions made during dispute resolution.
